When AI Vendor Contracts Become M&A Complications
About 18-24 months after teams start using AI vendors for strategic work, a pattern emerges: partnership discussions or M&A diligence stalls because legal teams can't get clean answers about AI contracts.
The questions aren't exotic—they're basic. But most teams don't have clear answers because they optimized for speed when signing vendor contracts, not for future diligence.
The Pattern: Vendor Lock-In Surfaces Late
What this looks like:
You picked an AI vendor 18 months ago for target screening or patient stratification. You needed it working fast, you signed their standard contract, you moved on.
Now you're in partnership discussions or M&A diligence, and the acquirer's legal team asks:
"Who owns the trained model if you switch vendors?"
"Can you export your model and data in standard formats?"
"What data was used for training, and can you prove it's exclusively yours?"
"If this vendor goes away, can you recreate the model?"
If the answers aren't clean, diligence extends. Not because anything is wrong—but because legal teams can't get comfortable with ambiguity around strategic assets.

What I'm Hearing: Four Issues That Keep Coming Up
1. Model ownership wasn't explicit in contracts
Most vendor contracts say you own your data, but they're vague about who owns the "trained model" or "fine-tuned weights."
What this means in practice:
You can't take the model to a different vendor without retraining from scratch. Your switching costs are 6-12 months, which gives the vendor massive pricing power at renewal.
What's working:
Companies are now explicitly negotiating ownership of trained models for strategic use cases (not everything—just the core models that are mission-critical).
Contract language like: "Client owns all fine-tuned model weights for [specific use case] and can export in [standard format]."
When this matters: For models on your critical path (target selection, patient selection, manufacturing QC). For nice-to-have tools, standard vendor terms are usually fine.
2. Training data provenance isn't documented
In M&A diligence, acquirers want to know: What data trained this model? Was it only your data, or did the vendor mix in data from other customers?
Most teams don't have this documented because they assumed the vendor would have it. But vendors often can't (or won't) provide detailed provenance logs.
What this creates:
Uncertainty about whether the model's performance is proprietary to you, or whether competitors could get similar results using the same vendor.
What's working:
Before starting model training, get explicit documentation:
What datasets will be used
Where they're stored
Whether they're exclusive to you
What licenses/permissions cover the data
Keep those records for future diligence.
When this matters: For strategic models that differentiate your approach. For commodity tools (standard literature screening, etc.), this level of documentation is probably overkill.
3. Exit/portability wasn't tested
Many contracts say you can "export your data," but when teams actually try:
Data is in proprietary formats that require vendor tools to read
The model architecture isn't documented well enough to recreate
Key configurations or parameters aren't included in exports
What this creates:
You think you have optionality (can switch if needed), but in practice, switching would take 6-12 months and significant cost.
What's working:
Companies are running "portability tests" before renewal—actually trying to export their model and data to see if it works.
What a portability test looks like:
Request full export from vendor (model, weights, data, configurations)
Try to load it in a different environment (secondary vendor or internal infrastructure)
Verify you can reproduce predictions
Document what's missing or doesn't work
If the export doesn't work cleanly, renegotiate terms before signing the next contract.
When this matters: For strategic models you'd need to maintain if the vendor relationship ended (for any reason). For low-stakes tools, portability is less critical.
4. Data residency and cross-border issues weren't mapped
Multi-region teams move data to ship faster. But cross-border AI training can violate:
Data residency requirements (EU patient data must stay in EU)
Partner covenants (pharma partner requires US-only data hosting)
Export control laws (BIOSECURE Act implications for China)
Most teams don't discover this until a partnership or regulatory review surfaces it.
What's working:
Define data residency requirements upfront, by data class:
Clinical/patient data: Where can it be stored? Where can models be trained?
Manufacturing data: Any export control concerns?
Discovery data: Usually more flexible, but check partnership agreements
Build these requirements into vendor contracts before data moves.
When this matters: When you have international partnerships, EU patient data, or potential export control issues. For purely domestic discovery work, usually not a concern.
One Example
A Phase 2 metabolic disease company used an AI vendor for patient stratification in their trial. Standard contract, nothing unusual.
Two years later, during acquisition discussions, the acquirer asked: "Can you prove this model was trained only on your patient data, not pooled data from other customers?"
The team went back to the vendor. The vendor's answer: "Our standard practice is to train on pooled, anonymized data to improve model performance. We can't provide customer-specific provenance logs."
The problem: The acquirer wanted to ensure the patient stratification approach was proprietary, not something any competitor could replicate using the same vendor.
What happened: Acquisition didn't fall apart, but the company had to commission an independent analysis showing their approach was differentiated despite using a standard vendor. Added 8 weeks to diligence and ~$150K in consulting fees.
What they changed for future vendor relationships:
Negotiate exclusivity for strategic use cases ("train only on our data")
Document training data provenance upfront
Test portability before renewing (can we actually recreate this elsewhere?)
Result: Their next partnership discussion—for a manufacturing AI tool—had clean answers to every vendor question. Diligence took days, not months.
How to Approach This
Step 1: Inventory strategic vs. utility AI (1-2 weeks)
List every AI vendor relationship. For each, ask:
Is this mission-critical or nice-to-have?
Does this differentiate our approach or is it commodity?
Would we need to maintain this if the vendor relationship ended?
Tag as:
Strategic (target/patient selection, core manufacturing, proprietary methods) → needs careful contract terms
Utility (literature monitoring, standard tools) → standard vendor terms are fine
Step 2: Check contracts for strategic tools (2-3 weeks)
For strategic AI tools, review contracts for:
Who owns the trained model?
Can you export in standard formats?
Is training data provenance documented?
Are there data residency restrictions?
If answers aren't clear, flag for renegotiation at renewal.
Step 3: Test portability for one strategic tool (4-6 weeks)
Pick your most critical AI tool and run a portability test:
Request full export from vendor
Try to load in different environment
Document what works and what doesn't
If export doesn't work cleanly, that's your negotiating leverage for renewal.
Step 4: Build better terms into new contracts (ongoing)
For new strategic AI vendors, negotiate upfront:
Explicit ownership of trained models
Training data provenance documentation
Export in standard formats with no functional loss
Data residency requirements by data class
For utility tools, standard terms are usually fine.
What Good Looks Like
You'll know this is handled when:
Partnership/M&A diligence questions about AI get answered in hours, not weeks
You have real leverage at vendor renewals (credible ability to switch)
No surprises when partners ask about data residency or model ownership
Most reliable signal: When legal/BD teams ask about your AI vendors, you can send them a clear summary document (what we use vendors for, who owns what, how we can switch if needed) rather than scrambling to reconstruct answers.
When This Actually Matters
AI vendor diligence is urgent if:
You're Phase 2+ with partnerships/M&A realistic in next 12-24 months
AI is on your critical path (strategic decisions depend on it)
You're using vendors for patient-facing or regulatory work
It's probably premature if:
You're pre-IND with exploratory AI pilots
All your AI is internal discovery support (nice-to-have)
No near-term partnerships or exits
Honest answer: Early-stage companies should optimize for speed—use vendors with standard terms and move fast. But heading toward partnerships or exits, having clean AI vendor contracts matters because it comes up in every diligence process now.
